2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our Services. By using Smart Athens, you represent that you meet these requirements.


3. Scope of Services

Smart Athens provides digital marketing, web development, automation, and SaaS solutions tailored to service-based and fintech businesses. The scope of work for each client will be defined in a signed proposal, service agreement, or subscription plan.

We may update, enhance, or discontinue any part of our Services at our discretion.


4. Fees, Payments, and Billing

Pricing – Fees for Services will be disclosed in your signed proposal or subscription plan.

Billing Cycle – Services may be billed monthly, quarterly, or annually, depending on your plan.

Payment Terms – Payment is due on or before the due date listed on your invoice.

Late Payments – Overdue balances may result in suspension of Services and incur late fees.

Refunds – Payments are generally non-refundable unless otherwise specified in writing.


5. Intellectual Property

Our IP – All software, code, designs, logos, content, and systems developed by Smart Athens remain our intellectual property unless expressly transferred in writing.

Your IP – You retain ownership of your company’s trademarks, logos, and content provided to us.

Licenses – By using our Services, you grant Smart Athens a limited license to use your content solely for the purpose of delivering the Services.


6. Client Responsibilities

You agree to:

Provide accurate and timely information needed to deliver Services.

Obtain necessary permissions for content, logos, or data provided to Smart Athens.

Maintain compliance with all applicable laws and regulations regarding your business activities.


7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation continues even after termination of the Services.


8. Data Privacy & Security

Smart Athens respects your privacy. We will only use personal or business data as described in our Privacy Policy. While we implement security measures, no system is 100% secure, and we cannot guarantee absolute protection of your data.


9. Limitation of Liability

To the fullest extent permitted by law, Smart Athens shall not be liable for:

Any indirect, incidental, or consequential damages.

Loss of revenue, profits, or business opportunities.

Downtime, bugs, or errors outside our reasonable control.

Our total liability for any claim shall not exceed the total amount paid by you to Smart Athens in the three (3) months preceding the claim.


10. Indemnification

You agree to indemnify and hold harmless Smart Athens, its officers, employees, and affiliates from any claims, damages, or liabilities arising from your misuse of our Services, breach of these Terms, or violation of applicable laws.


11. Term & Termination

Term – These Terms apply for as long as you use our Services.

Termination by You – You may cancel your Services by providing written notice in accordance with your agreement.

Termination by Us – We may suspend or terminate Services at any time for non-payment, breach of these Terms, or illegal use of our Services.


12. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.


13. Dispute Resolution

Negotiation – Parties agree to first attempt good-faith negotiation.

Mediation/Arbitration – If unresolved, disputes shall be settled by binding arbitration in Clarke County, GA.

Class Action Waiver – You agree not to bring claims as part of a class action or collective proceeding.


14. Changes to Terms

Smart Athens reserves the right to update these Terms at any time. Changes will be posted on our website with a revised “Last Updated” date. Continued use of Services after changes indicates acceptance.
